2022 Annual General Meeting
The Annual General Meeting of Einhell Germany AG will be held on Friday, 24th June 2022, at 10:00 a.m. (CEST) as a Virtual Annual General Meeting without physical presence of the shareholders or their authorised representatives (with the exception of the Company’s designated voting proxies).
Shareholders, who have registered for the Annual General Meeting, as well as their proxies, can follow the entire Annual General Meeting live and online via the web service. Voting rights may be exercised by electronic postal vote or by granting power of attorney with instructions to the Company’s designated voting proxies. This is possible both before the Annual General Meeting and online during the Annual General Meeting until the time determined by the person chairing the meeting. In addition, shareholders have the right of submitting questions via the web service until one day before the Annual General Meeting (deadline 22 June 2022, 24:00).
Shareholders who intend to use the web service or otherwise exercise their voting rights are requested to register for the Annual General Meeting via their custodian bank. Along with the confirmation of registration, shareholders will receive their personal login data for electronic access to the web service.

1. What is a Virtual Annual General Meeting?
The term “Virtual Annual General Meeting” refers to a general meeting of shareholders that is held without physical attendance of the shareholders and their authorised representatives at the relevant venue. The legislator introduced this form of general meeting in the year before last, to enable general meetings of shareholders to be held despite the COVID-19 pandemic and to reduce health risks for shareholders, employees, service providers and other attendees of the general meeting. This format excludes the right of shareholders to physically participate in the virtual general meeting, while the web-based options for following the general meeting online have been expanded.
2. How do shareholders participate in the Virtual Annual General Meeting?
Shareholders may follow the audio and video transmission of the entire general meeting live on the Internet. The entire general meeting is designated exclusively for registered shareholders.
Please refer to the notice convening the Annual General Meeting (AGM) for information on how to exercise your voting rights.
Registered shareholders also have the right to submit questions via the web service before the Annual General Meeting by 22 June 2022, 24:00 at the latest. The members of the Board of Directors will answer these questions at the Virtual Annual General Meeting at their own due discretion.
The web service of Einhell Germany AG where the Virtual Annual General Meeting will be transmitted on 24 June 2022 will be available to shareholders at www.einhell.com/HV2022 from 3 June 2022.
3. What do I have to do to use the web service for the Virtual Annual General Meeting?
In order to use the web service at www.einhell.com/HV2022, you must have registered for the Annual General Meeting.
You will receive the registration documents together with the notice convening the Annual General Meeting from your custodian bank. The relevant documents are expected to be sent out by your custodian bank at the end of May. The exact timing is unfortunately beyond our control.
Please note that there may be delays in postal delivery due to the ongoing COVID-19 pandemic.
Once you have registered for the Annual General Meeting, you will receive a confirmation of registration. The confirmation of registration will include your electronic access data for the web service.
You will be asked to enter your electronic access data when you access the web service at www.einhell.com/HV2022. After having entered your personal access data, you will be able to use the web service.
